("Official Rules")

NO PURCHASE NECESSARY. PURCHASES DO NOT INCREASE YOUR ODDS OF WINNING. YOU HAVE NOT YET WON. VOID WHERE PROHIBITED BY LAW. ALL FEDERAL, STATE, TRIBAL, AND LOCAL LAWS AND REGULATIONS APPLY. BY ENTERING, YOU ALSO AGREE TO THE TERMS LISTED BELOW.

1. ELIGIBILITY:
   1. Generally. The Mr. Hand Pay, LLC 1,000,000 Subscriber Push Contest ("Promotion"), sponsored by Mr. Hand Pay LLC (“Sponsor”), and in conjunction with Foxwoods Resort Casino, Mashantucket, CT (“Foxwoods”) is open to legal residents of the 50 United States and Washington D.C. who are twenty-one (21) years of age or older at the time of entry, subject to all applicable United States federal, state, tribal, and local laws and regulations (each a “Participant”). Proof of age and identity must be furnished to Sponsor upon request.  Participation is void where prohibited by law.

1. Participant Limitations. Each Participant is further defined as a single, living, unique, autonomous human being possessing a contiguous human body. As such, the definition of Participant shall not be expanded to include animals or pets, persons who have not yet been born, persons who have died, individual body parts or appendages, multiple identities or personalities inhabiting the same contiguous human body, or any other contrary interpretation.

1. Account/Attendance Requirements. To be eligible to enter the Promotion, each Participant meeting all eligibility requirements in this Section must have an active YouTube account via Google (“Account”) and be subscribed to the “Mr. Hand Pay” YouTube channel (“Channel”). Each Participant must further be eligible to travel to and from Foxwoods and participate in the promotion event that will be held between October 31, 2025 and November 2, 2025 (collectively, “Promotional Event”).

1. Prohibitions. Employees, contractors, directors, and officers of Sponsor, its affiliated companies, including but not limited to Mr. Hand Pay Casino & Travel Inc., Mr. Hand Pay Breaks Inc., Mr. Hand Pay Group Pull Inc., and MHP Payroll, LLC, (collectively, “Affiliates”), or Foxwoods and their parents, affiliates, subsidiaries, distributors, sales representatives, retailers, and advertising, promotion and judging agencies and all other service agencies involved with the Promotion, and members of the immediate family (spouse, parent, child, sibling and their respective spouse) and household of each such employee are not eligible to participate.

2. PURPOSE: The purpose of this Promotion is to obtain one million (1,000,000) subscribers to the Channel on or before September 30, 2025 (“Purpose”). By participating, Participants will get the opportunity to win the Prize identified in Section 7 herein. In the event the Purpose has not been met in full, meaning the Channel has not reached 1,000,000 subscribers by the end of the Entry Period (defined in Section 3), then the Promotion ends automatically. In such event, no Prize will be awarded and the Promotional Event will not occur as described herein.

3. ENTRY PERIOD: This Promotion will be available beginning at 12:00am CT on July 1, 2025 and ends at 11:59pm CT on September 30, 2025, or until one million (1,000,000) subscribers are reached on the Channel, whichever comes first (“Entry Period”). Sponsor reserves the right to close the Promotion to new entries upon reaching one million (1,000,000) subscribers. In such event, only Comments made between the beginning and end of the Entry Period will be considered as entries for purposes of this Promotion. People may continue to leave comments on Videos, however, no comments made after the end of the Entry Period will be placed into the random comment generator identified in Section 8.a herein. The clock on Sponsor’s server will be the official clock for the Promotion.

4. HOW TO ENTER: There are two different ways Participants may enter the Promotion:

1. Electronically. Each eligible Participant may enter the Promotion by successfully logging in to YouTube during the Entry Period and thereafter, making a written alphanumeric comment in the “Comments” section of any long-form, horizontally-framed videos posted to the Channel between 12:01am CT on July 1, 2025 and 11:59pm CT September 30, 2025 (“Videos”). Title and thumbnail of Videos may be changed from time to time during the Entry Period in Sponsor’s sole and absolute discretion. Multiple entries are allowed by the same Participant. The Videos will be cross posted to other social media outlets, however, only comments appearing on the YouTube platform will be considered as a valid entry for purposes of this Promotion. Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro, or use of automated devices are void. Comments on videos other than the Videos or comments containing lewd, obscene, pornographic, disparaging, defamatory, libelous, slanderous, vulgar, or otherwise indecent language or images, in the sole and absolute opinion of Sponsor, will be deleted, disregarded, and ineligible for the Promotion.

1. S. Mail. Participants who wish to participate in the Promotion, but who do not have an Account, do not wish to log on to YouTube, or do not wish to subscribe to the Channel may obtain an entry by sending a postcard containing their name, address, phone number, e-mail, and date of birth to:

Postcards must be postmarked by the last date of the Entry Period to be valid. Participants will receive one entry per postcard, which Sponsor will randomly place on one of the Videos. Multiple entries are allowed by the same Participant. No mechanical reproductions or entries will be accepted. All entries become Sponsor’s property and will not be returned.

Participants who participate in the Promotion via the Electronic option have the same odds of winning as Participants who participate using the U.S. Mail option. No other means of entry will be accepted, including but not limited to telephone, fax, text, or e-mail and any attempted entries by such methods will be disregarded.

5. NUMBER OF ENTRIES:  One (1) comment (if electronically pursuant to Section 4.a), OR one (1) postcard (if by U.S. Mail pursuant to Section 4.b) equals one (1) entry in the Promotion.

6. CONDITIONS OF ENTRY: By entering, Participants: (a) agree that they have read and agree to abide by these Official Rules and all decisions of the Sponsor and its subsidiaries, affiliates, directors, officers, employees, and agents, which are final, binding, and non-negotiable in all respects; and (b) represent and warrant that they are in compliance with these Official Rules, including all eligibility requirements and that they are not prohibited from participating in the Promotion.

7. PRIZE: Sponsor will provide five (5) prize packages containing the following:

• Ten thousand dollars ($10,000) in free play or equivalent to be played through fully on an episode of the Your Luck Has Arrived game show featured on Sponsor’s Channel;
• Reimbursement not to exceed one thousand five hundred dollars ($1,500) total representing two (2) round trip airfare tickets for Prize Winner and one guest from their local airport to their choice of one of the following: Boston, MA, Providence, RI, Hartford, CT, or New York, NY;
• Ground transportation between one of the following: Boston, MA, Providence, RI, Hartford, CT, or New York, NY and Foxwoods;
• Up to four (4) nights of hotel room charge at Foxwoods;
• Two (2) complimentary spa service packages at Foxwoods;
• Five hundred dollars ($500) in food and beverage credit to be used at Foxwoods;
• Dinner with Mr. Hand Pay at Foxwoods. All food and non-alcoholic beverage costs will be paid by Sponsor. Alcoholic beverages are not included and, to the extent incurred by Prize Winner, must be paid directly by Prize Winner.

Total ARV of Prize: Twenty-five thousand dollars USD ($25,000) per person.

Prize Winners must be available and present at Foxwoods during the dates of the Promotional Event. Failure to appear at the Promotional Event will result in forfeiture of the Prize and no replacement Prize will be awarded.

The tentative schedule of the Promotional Event is as follows, subject to change at the sole and absolute discretion of the Sponsor:

• October 31, 2025 7:00pm: Dinner with Mr. Hand Pay at Hell’s Kitchen
• October 31, 2025 10:00pm: Halloween themed party with Mr. Hand Pay
• November 1, 2025 Time TBD: Your Luck Has Arrived Gameshow.

Federal, state, tribal, and local laws, restrictions, and regulations may prohibit the sale,  distribution, or use of the Prize. Any Prize Winner whose potential selection to win the Prize would otherwise be in violation of federal, state, tribal, or local law will be automatically ineligible to win the Prize.

8. DRAWINGS/ODDS:
   1. Drawing Date. On or about October 4, 2025 (“Drawing Date”), approximately half-way though the live stream on Sponsor’s Channel titled, “World’s First $1,000,000 Slot LIVE Stream,” (“Live Stream”) Sponsor will use a random comment generator operated by “https://app-sorteos.com/en/apps/youtube-giveaway” to select five (5) Prize winners from among all eligible Participant entries received during the Entry Period (each a “Prize Winner”). Entries are cumulative throughout the Entry Period. Odds of winning depend upon the number of eligible entries received during the Entry Period as compared with the five (5) Prizes available. A Prize Winner need not be physically present to win, but must be able to be physically present at the Promotional Event. Sponsor's decisions regarding Prize Winners are final.

1. Unaffiliated Events. During the Live Stream, Sponsor will air a separate event $50,000 “Mr. Hand Pay Hot Seat” event. That event is not affiliated with this Promotion and is open to all people physically present at Foxwoods for the event. Participation in the Promotion does not affect or have any bearing on the “Mr. Hand Pay Hot Seat” event. Any other promotions related to the Sponsor promoted or discussed during the Entry Period or prior to the Promotion Date shall also not be considered as affiliated with the Promotion.

9.              WINNER NOTIFICATION: The Prize Winners will be announced during the Live Stream and subsequently notified via the e-mail associated with their YouTube account or, for U.S. Mail entries, the e-mail provided on the entry postcard, or if none provided, to the U.S. Mail address provided. Notifications will be sent within seven (7) business days after the Drawing Date using the contact information provided by Participant upon entry. Sponsor is not responsible for any incorrect, incomplete, or illegible contact information provided by Participant that hinders or prohibits the award notification. Sponsor is not responsible for any changes to Participant’s e-mail, mailing address, or phone number after entry. Unclaimed Prizes will not be re-awarded.

10.           PRIZE REDEMPTION:

a.     Process. Winners must respond to Sponsor’s notification of award within fourteen (14) days of being contacted as a Prize Winner to confirm acceptance of the Prize. Winners shall contact Danielle Bailey: Danielle [at] mrhandpay [dot] com to claim their prize. Prize not claimed within this timeframe will be forfeited and may be awarded to a subsequent Participant (“Secondary Winner”). Secondary Winner(s) have three (3) days after Sponsor’s notification of award to respond to Sponsor confirming acceptance of Prize. Any extension requests are at the sole discretion of Sponsor, however, are unlikely given the Prize Winner must be present for the time-sensitive Promotional Event. Failure to timely respond or to provide any required documentation—such as a notarized Declaration of Eligibility and Release, together with personally identifiable information, including but not limited to name, date of birth, social security number, address, telephone number, and e-mail address (“PII”)—within seven (7) days of  request by Sponsor may result in disqualification and selection of an alternate winner at Sponsor's discretion. Failure or refusal to provide any PII will result in Prize forfeiture.

b.     Limitations.

                             i.     The Prizes will be awarded only if eligible entries have been received from winning Participants. Prizes are non-transferable, and no cash alternatives or substitutions will be provided—except where Sponsor, at its sole discretion, chooses to substitute a Prize of equal or greater value.

                           ii.     Each individual, household, or family is limited to one (1) Prize during the Promotion. Estimated retail values are based on the printing date of these Official Rules and are subject to change. Any difference between the stated and actual Prize value will not be awarded.

c.     Costs. Prize Winners are responsible for all costs or expenses associated with the Prizes that are not outlined in these Official Rules. Sponsor is not liable for delays or issues in Prize delivery caused by circumstances outside its control.

11. PROMOTIONAL EVENT PROVISIONS: In the event a Participant is chosen as a Prize Winner, all of the following apply:

1. Personal Appearance. All Prize Winners shall coordinate Prize redemption, including attendance at the Promotional Event, with Danielle Bailey: Danielle [at] mrhandpay [dot] com. Prize Winners who fail to arrive at Foxwoods in advance of the commencement of the Promotional Event fully forfeit all Prize elements and will not be awarded any value or replacement.

1. Flight. All Prize Winners are responsible for booking, paying for, and all arrangements with regard to flights to and from the Promotional Event. That portion of the Prize that relates to flights will be provided to Prize Winner in the form of a reimbursement. Prize Winner is responsible for providing Sponsor with a receipt confirming Prize Winner’s flight purchase as a condition precedent to any reimbursement.

1. Hotel. Although a hotel stay is an element of the Prize, Foxwoods requires Prize Winner to have a credit card on file as security for incidentals. Prize Winner is responsible for providing Foxwoods with such credit card. Prize Winner is further responsible for any incidentals incurred with relation to their hotel stay, including but not limited to minibar purchase, room service, towel charges, damage to the room, and purchases made via the room’s TV and/or telephone service.

1. Game Play Funds. Prize Winner will be provided ten thousand dollars ($10,000) in free play or equivalent to be played on an episode of the Your Luck Has Arrived game show filmed during the Promotional Event and featured on Sponsor’s Channel. Prize Winner must play through all ten thousand dollars ($10,000) in the Your Luck Has Arrived game show. Prize Winner is solely responsible for any other funds it wishes to use for purposes of game play while at Foxwoods during the Promotional Event. Participant is not responsible for providing Prize Winner with any game play funds other than as expressly identified herein.

1. Guests. Due to space constraints, Prize Winner may only bring one (1) guest to the Promotional Event. Sponsor reserves the right to demand that any other persons attempting to participate in the Promotional Event be removed from the gaming area.

1. Game Choice. Sponsor and Foxwoods will select, and have final decision-making authority with regard to, which games are played during the Promotional Event.

1. Capacity. Participant represents and warrants that they have the financial and transportation means to travel to Foxwoods and to participate in the Promotional Event. Participant represents that they are prepared, both mentally and financially, to potentially lose money, above and beyond the Free Play identified in subsection (a) herein, that they use for game play purposes. Participant further warrants that they are of sound mind and character sufficient to participate in this Promotion and the Promotional Event.

1. Fair Play and Respect. Participant has a duty of good faith to treat Sponsor, other participants, and Foxwoods casino personnel fairly and with respect, both verbally and physically. Participant is prohibited from engaging in physical altercations or using demeaning or offensive language, threats, or insults before, during, after, or in relation to the Promotion or Promotional Event. In the event Sponsor or Foxwoods determines, in their sole and absolute discretion, that Participant is not treating others fairly or with respect, then Sponsor and/or Foxwoods retain the right for Foxwoods to eject Participant from the Promotional Event and prohibit Participant from participating in subsequent Sponsor events.

1. Foxwoods Casino Rules and Regulations. Participant agrees to abide by all rules and regulations established by Foxwoods. Sponsor and Foxwoods retain the right to refuse Participant’s access to the Promotional Event for any reason. In the event Foxwoods elects to remove the Participant from Foxwoods, in Foxwoods’ sole discretion, Participant forfeits any and all portions of the Prize.

1. Cheating. Cheating of any kind is expressly prohibited. If Sponsor and/or Foxwoods discover that Participant, either for itself or through the assistance of others, has participated in any plan, scheme, device, or other activity, whether or not successful, designed to result in an unfair advantage over any others for monetary advantage, then Participant will be removed from the Promotional Event, will be unable to continue participating in the Promotional Event, and further forfeits any and all portions of the Prize.

1. Inebriation. Sponsor wants all participants, including Participant, to have fun during the Promotional Event and recognizes that Participant may wish to enjoy alcoholic beverages, the cost of which shall be borne exclusively by Participant. In the event Participant becomes so inebriated, however, that Participant is unable to maintain their composure, in the sole and absolute discretion of the Sponsor or Foxwoods, then Sponsor and/or Foxwoods reserve the right to deny access to, or remove Participant from, the Promotional Event. In such event, Participant forfeits any and all portions of the Prize.

1. Entertainment Union Affiliation. Participant represents and warrants that they are not a signatory to any entertainment industry union or guild (i.e. SAG-AFTRA), or other collective bargaining agreements and this document is not subject to any such entertainment industry union, guild, or other collective bargaining agreements.

1. Statements. Participant represents and warrants that any statements made by Participant during their appearance are true, to the best of their knowledge, and that their appearance will not violate or infringe upon the rights of any third party.

12. OTHER CONTEST PROVISIONS:
    1. Errors. The Sponsor is not responsible for: lost, late, incomplete, inaccurate, illegible, misdirected, damaged, incorrect, invalid entries, computer errors or malfunctions; or incorrect or inaccurate transcription of entry information, failures or delays in mail carriers, computer transmissions, or network connections, human, printing or other errors, technical malfunctions, or any other errors or malfunctions.

1. Fraud. By participating in the Promotion, Participants (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor, which are final and binding in all matters relating to the Promotion. Failure to comply with these Official Rules may result in disqualification from the Promotion. Sponsor reserves the right to: (i) permanently disqualify from any Promotion it sponsors any person it believes has intentionally violated these Official Rules; and (ii) withdraw the online method of entry if it becomes technically corrupted (including if a computer virus or system malfunction inalterably impairs its ability to conduct the Promotion), and to select winners from among all eligible entries received prior to withdrawal.

1. Participant Identity. In the event of a dispute over the identity of an online entrant, entry will be deemed submitted by the "Authorized Account Holder" of the e-mail address submitted at time of entry. Authorized Account Holder means the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

1. LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER WITH, VANDALIZE, OR INTERFERE WITH THE OPERATION OF THE PROMOTION, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AND CRIMINAL PROSECUTION AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

13.           TAXES: All federal, state, provincial, tribal, and local taxes are the sole responsibility of the Prize Winner. By accepting a Prize, Prize Winners agree to report their earnings to the IRS as required. Sponsor will issue a Form 1099 in accordance with IRS regulations.

14.           PUBLICITY:

a.     Generally. Participant acknowledges that their participation in the Event may be broadcast on Sponsor’s, its Affiliates’, and Foxwoods’ Internet-based media platforms and social media channels, including but not limited to “Mr. Hand Pay,” “Mr. Hand Pay TV,” and “JasonWasThere,” or any other social media channel hereafter devised by Sponsor or its Affiliates.

1. Rights Granted. In consideration of the invitation to participate in the Promotion and Promotional Event, and for other good and valuable consideration identified herein, the receipt and sufficiency of which Participant acknowledges, Participant hereby irrevocably and unconditionally grants, licenses, conveys, and authorizes Sponsor and/or its Affiliates, parents, subsidiaries, licensees, principals, attorneys, agents, successors and assigns, the following rights, without limitation, in all markets and media by all means, whether now existing or hereafter created or developed, throughout the universe in perpetuity: (i) all rights of every kind and nature whatsoever now or hereafter known in and to Participant’s appearance in the Promotion and Promotional Event, and all results and proceeds thereof, all of which shall be considered a work made for hire for the Sponsor and/or Affiliates for copyright purposes, including the waiver of all so-called “moral rights” or “droit moral”; (ii) the right to tape and photograph Participant, and to record and use Participant’s voice, conversation, sounds, name, picture, likeness, biography, and performance in any manner, in whole or in part, as well as any reproduction thereof, in the Event and in connection with publicity and advertising for and promotion of the Promotion, Promotional Event, the Sponsor, Affiliates, and Sponsor’s and/or Affiliates’ programming; and (iii) the right (but not the obligation) to distribute, exhibit, record, and reproduce, broadcast, transmit, publish, sell, sublicense, perform, edit, dub, and otherwise use the Promotion and Promotional Event and Participant’s performance therein, in all media now known or hereafter developed, throughout the universe, in perpetuity.

1. No Obligation. Participant acknowledges and agrees that Sponsor and/or its Affiliates shall not have any obligation to actually use Participant’s performance or to produce, broadcast, or otherwise exploit the footage of the Promotion or Promotional Event if Sponsor or its Affiliates elect not to do so. Participant understands that Participant’s appearance on or participation in the Promotion and Promotional Event confers on Participant no ownership rights whatsoever therein and that Participant is to receive no fees, royalties, or other ongoing compensation of any kind arising out of Participant’s appearance on or participation in the Promotion and Promotional Event.

1. Inspection and Approval. Participant waives any right of inspection or approval of their appearance or the uses to which such appearance may be put. Participant acknowledges that Sponsor will rely on these Official Rules potentially, at substantial cost to them, in spending time, money, and effort on the Promotion and Promotional Event and Participant’s participation in it, and that these Official Rules, for this and other reasons, shall be irrevocable and unconditional, and Participant hereby agrees not to assert any claim of any nature whatsoever against anyone relating to the exercise of the permissions granted hereunder, and specifically waives the right to seek injunctive or other equitable relief with respect to an breach (or alleged breach) of these Official Rules.

15. FORCE MAJEURE: Sponsor is not responsible for cancellation or delay of this Promotion and/or Promotional Event caused by force majeure events, including but not limited to: acts of God, natural disasters, war, terrorism, government restrictions, epidemic, pandemics, or other events beyond its control. In such cases, Sponsor reserves the right to suspend, extend, or terminate the Promotion. Additionally, Sponsor reserves the right to cancel, suspend, amend, or terminate the Promotion, without notice, for any reason, including, without limitation, if Sponsor determines that the Promotion and/or Promotional Event cannot be conducted as planned, or should a virus, bug, tampering, or unauthorized intervention, technical failure, or other cause beyond Sponsor’s control corrupt the administration, security, fairness, integrity, or proper play of the Promotion and/or Promotional Event.

16.           RELEASES & LIMITATION OF LIABILITY:

A.    Released Parties. By entering this Promotion, and if selected as a prize winner, the promotional event, Participants agree to release Sponsor and its affiliates, fOXWOODS, MASHANTUCKET PEQUOT TRIBAL NATION (“MPTN”), AND their subsidiaries, retailers, advertising and promotion agencies, TOGETHER WITH the respective officers, directors, employees, and agents OF EACH (collectively, the "Released Parties") from any liability related to their participation in the Promotion, Promotional event, or use of the Prizes.

1. RESPONSIBLE GAMBLING. THIS PROMOTION AND THE PROMOTIONAL EVENT ARE FOR ENTERTAINMENT PURPOSES ONLY. GAMBLING ISN’T FOR EVERYONE AND THE ODDS ARE AGAINST YOU. KNOW YOUR LIMITS AND ONLY GAMBLE WITH MONEY THAT YOU CAN AFFORD TO LOSE. C.    NO REPRESENTATIONS AS TO PROMOTION OR PROMOTIONAL EVENT. RELEASED PARTIES make no representations or warranties, guarantees, or endorsements, express or implied, regarding the PROMOTION, Promotional Event, FOXWOODS, mptn, game play outcomes, or odds, EXCEPT AS EXPRESSLY STATED HEREIN. PARTICIPANT’S exclusive remedy for dissatisfaction with the PROMOTION OR PROMOTIONAL EVENT IS TO NOT PARTICIPATE IN THE PROMOTION OR PROMOTIONAL EVENT.

D.    NO REPRESENTATIONS AS TO PRIZE QUALITY. RELEASED PARTIES make no warranties or representations, express or implied, in law or equity, regarding any elements of the Prize OR PROMOTIONAL EVENT, its quality, fitness, or merchantability. Sponsor is under no obligation to respond to claims regarding the sufficiency of the Prize OR PROMOTIONAL EVENT.

1. WAIVER OF CLAIMS RELATED TO GAMBLING LOSSES. BY PARTICIPATING IN THE PROMOTION AND PROMOTIONAL EVENT, PARTICIPANT IRREVOCABLY WAIVES ALL RIGHTS TO MAKE ANY CLAIMS AGAINST RELEASED PARTIES FOR ANY LOSSES ARISING OUT OF THE PROMOTION, PROMOTIONAL EVENT, OR ANY CASINO ACTION, INCLUDING BUT NOT LIMITED TO THOSE ARISING FROM PARTICIPANT’S OWN GAMBLING HABITS. 1. RELATIONSHIP OF PARTIES. SPONSOR AND ITS AFFILIATES ARE NOT EMPLOYEES, JOINT VENTURERS, OR PARTNERS OF OR WITH ANY CASINO, INCLUDING FOXWOODS, OR MPTN, INCLUDING THE SPONSOR AND AFFILIATES DO NOT MAKE ANY REPRSENTATIONS, WARRANTIES, GUARANTEES, OR ENDORSEMENTS, EXPRESS OR IMPLIED, REGARDING THE CASINOS WITH WHICH SPONSOR AND AFFILIATES DO BUSINESS. FOXWOODS AND MPTN RETAIN FULL CONTROL OVER THEIR OWN OPERATIONS. PARTICIPANT’S EXCLUSIVE REMEDY FOR DISSATISFACTION WITH FOXWOODS IS TO STOP ENGAGING WITH FOXWOODS. IN THE EVENT OF ANY CLAIMS REGARDING FOXWOODS OR MPTN, PARTICIPANT MUST BRING THOSE CLAIMS TO FOXWOODS AND/OR MPTN ITSELF AND NOT SPONSOR OR ITS AFFILIATES.

1. WAIVER OF CLAIMS AS TO SERVICE PROVIDERS. This Promotion is not sponsored by YouTube, Google, https://app-sorteos.com/en/apps/youtube-giveaway, or the parents, affiliates, or subsidiaries, or employees, contractors, directors, or officers of any of them, in any manner. As YouTube, Google, and its parent company, Alphabet, Inc., and https://app-sorteos.com/en/apps/youtube-giveaway are not parties to the Promotion, but merely other service providers used by Sponsor in relation to this Promotion, Participants acknowledge and agree that they have no claims, and shall bring no demands, claims, or actions, against any of them.

1. LIMITATION OF LIABILITY. Participants agree that in the event of any claim arising out of this Promotion OR PROMOTIONAL EVENT, the Participant’s liability is limited to the VALUE OF THE PRIZE it could have theoretically won in the Promotion: twenty-five thousand DOLLARS ($25,000 USD)/person. No claims for punitive, incidental, or consequential damages are permitted.

17. IP and NIL Rights. Participant acknowledges that Sponsor, its Affiliates, and Foxwoods are the sole and exclusive owners of all their respective intellectual property rights, including as applicable, copyrights, trademarks, patents, trade secrets and moral rights (“IP”) which Sponsor, its Affiliates, and/or Foxwoods have provided, or may provide, Participant to access in conjunction with its Event. Participant further acknowledges that Sponsor’s principal, Jason Boehlke, is the sole and exclusive owner of his rights of privacy and publicity, including but not limited to, name, image, and likeness rights (“NIL”), which Sponsor retains the right to maintain and protect. Nothing herein shall be construed to sell, assign, license, or grant any IP or NIL to Participant for any reason without the express written consent of the Sponsor or its Affiliates.

18. Relationship of Parties. Participant is not an employee, partner, or agent of Sponsor and/or its Affiliates, nor of Foxwoods or MPTN, and nothing herein shall be construed to create any partnership or joint venture between Participant and Sponsor and/or its Affiliates, nor between Participant and Foxwoods or MPTN. Participant shall not be entitled to, nor receive, any benefit normally provided to Sponsor’s or its Affiliates’ employees such as, but not limited to: vacation payment, retirement, health care, sick pay, unemployment compensation, or worker’s compensation benefits.

19. Sponsor’s failure to enforce strict performance with any provision of these Official Rules does not constitute waiver of any provision or its right to constitute a waiver of its right to subsequently enforce any contractual provision.

20. In the event any portion of these Official Rules is determined to be invalid or unenforceable, that invalid or unenforceable portion may be severed, and the remainder of the Agreement shall remain in full force and effect.

21. Entire Agreement. These Official Rules contain the entire agreement between Participant and Sponsor and supersedes any and all preceding agreements, oral, written, or otherwise. Section headings are provided merely for convenience and shall not be given any legal import. Participant is not relying upon any promises, assurances, representations, or statements of any kind made by anyone about the nature of the Promotion or Promotional Event or any other aspect of the Promotion or Promotional Event other than those expressly identified herein. These Official Rules shall inure to the benefit of Sponsor’s successors, assigns, licensees, sub-licensees, parent companies, subsidiaries, and affiliated entities.

22. Interpretation; Dispute Resolution. These Official Rules are not to be construed as any gambling contract or any agreement to gamble or participate in a lottery. Instead, these Official Rules are designed to allow Participants the chance to win a Prize and to play certain forms of casino action at the Promotional Event held at Foxwoods, a lawfully operating casino, which Foxwoods controls all of its slot machines and table games and makes payments of currency. These Official Rules have been entered into in the State of Wisconsin, and the validity, construction, interpretation, and legal effect of these Official Rules shall be governed by the laws of the State of Wisconsin applicable to contracts entered into and performed entirely within the State of Wisconsin. All claims, disputes, or disagreements which may arise out of the interpretation, performance, or breach of these Official Rules shall be submitted exclusively to the jurisdiction of arbitration or the state courts, in Sponsor’s sole and exclusive discretion, in the state or federal courts of Wisconsin, Washington or Milwaukee Counties, or the Federal District Courts located in the Eastern District of Wisconsin, and the Parties hereto waive any objections on the grounds of lack of jurisdiction, lack of venue, or forum non conveniens, or any similar grounds. Participants expressly waive any right to file any action in any Court of law, including class actions. Participant further agrees that any cause of action arising out of or related to the Event or these Official Rules must be commenced within one (1) year after the cause of action accrues, otherwise such action is permanently barred. In any action brought by Sponsor to enforce the terms of these Official Rules, Sponsor shall be entitled to its actual attorneys’ fees, costs, and applicable interest at the then-applicable prime rate. Notwithstanding anything to the contrary in this Section, any claims by Participant and/or Sponsor which involve Foxwoods and/or MPTN are subject to the laws of MPTN and may only be brought in the MPTN Tribal Court, except any claims involving alleged gaming losses, which shall be subject to the sole jurisdiction of the Mashantucket Pequot Gaming Commission.

23. OFFICIAL RULES AND WINNER LIST.
